Terms of Service

1. Acceptance of Terms

By accessing or using ScriptShield (the “Service”), operated by Catana Group LLC, a Delaware limited liability company, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

ScriptShield is an evidence documentation platform for creators. It is not a law firm, does not provide legal advice, and does not offer copyright registration services. Authorship certificates generated by ScriptShield provide evidence of creation — they do not constitute copyright registration with the U.S. Copyright Office or any other government body.

2. Eligibility

You must be at least 18 years of age to use ScriptShield. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Service Description

ScriptShield provides the following services, depending on your subscription tier:

Free Tier

Hash-only authorship certificate using SHA-256 hashing computed in your browser. Your manuscript is never uploaded to our servers on the Free tier.

Single Certificate ($9.99)

Full manuscript upload with encrypted storage, authorship certificate with QR verification, and copyright notice generation.

Protection Pack ($19.95)

Everything in Single Certificate, plus:

• Blockchain timestamp verification
• Invisible PDF watermarking
• Unlimited distribution tracking
• NDA gate on shared links
• Evidence package PDF

Pro ($14.95/month)

Everything in Protection Pack applied to unlimited works, plus:

• Slate Promoter Page with poster cards
• Professional portfolio URL
• Bio and contact page
• Gated NDA access on all shared works
• Version tracking across drafts

5. Your Intellectual Property

You retain all ownership rights to the creative works you upload to ScriptShield. We do not claim any intellectual property rights over your manuscripts, screenplays, or other creative content. By uploading content, you grant Catana Group LLC a limited, non-exclusive license solely to provide the Service — including storing, processing, generating certificates, and displaying your content within your account and any portfolio pages you choose to make public.

You represent and warrant that you own or have the necessary rights to all content you upload, and that your content does not infringe upon the intellectual property rights of any third party.

6. Hash-Only Processing (Free Tier)

On the Free tier, ScriptShield generates a SHA-256 cryptographic hash of your manuscript entirely within your browser. Your manuscript file is never transmitted to or stored on our servers. Only the resulting hash value is stored. This hash cannot be reverse-engineered to reconstruct your manuscript.

7. Encrypted Storage (Paid Tiers)

For paid tiers that include manuscript upload, your files are stored using encryption at rest. Access to your stored manuscripts is restricted to your authenticated account. We implement industry-standard security measures to protect your content, but no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

8. Distribution Tracking and NDA

ScriptShield allows you to share your work with recipients and track when your work is accessed. When NDA gating is enabled, recipients must acknowledge a confidentiality agreement before viewing your work. ScriptShield logs these acknowledgments as evidence of access and agreement. However, enforcement of any NDA is the responsibility of the rights holder. ScriptShield does not provide legal enforcement services.

9. Authorship Certificates

Authorship certificates issued by ScriptShield document that a specific piece of content existed at a specific point in time and was associated with your account. These certificates are evidence documentation tools. They are not legal instruments, do not constitute copyright registration, and their admissibility or weight in any legal proceeding is determined by applicable law and the relevant court or tribunal.

10. Payment and Billing

Certain features of ScriptShield require payment. All payments are processed through Stripe, our third-party payment processor. By providing payment information, you agree to Stripe's terms of service. Prices are listed in U.S. dollars.

One-Time Purchases: Single Certificate and Protection Pack are one-time purchases associated with a specific work.

Subscriptions: Pro subscriptions are billed monthly or annually. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price Changes: We reserve the right to change our pricing. Any price changes will be communicated to you in advance and will not affect your current billing period.

11. Refund Policy

Due to the nature of digital certificate generation (certificates are generated immediately upon purchase), refunds are generally not available for completed transactions. If you believe a charge was made in error, please contact us at support@scriptshield.app within 14 days of the transaction.

12. Prohibited Uses

You agree not to use ScriptShield to:

• Upload content that you do not own or have rights to
• Upload content that is illegal, defamatory, or infringes on the rights of others
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to harass, abuse, or harm others
• Use automated systems or bots to access the Service without our written permission
• Misrepresent the nature or legal effect of ScriptShield certificates

13. Termination

We may suspend or terminate your account if you violate these Terms or if we reasonably believe your use of the Service poses a risk to us, other users, or third parties. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your data for 30 days following termination, except in cases of termination for abuse or illegal activity.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CATANA GROUP LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

SCRIPTSHIELD IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. AUTHORSHIP CERTIFICATES ARE EVIDENCE DOCUMENTATION TOOLS AND DO NOT CONSTITUTE COPYRIGHT REGISTRATION. USERS SHOULD CONSULT QUALIFIED LEGAL PROFESSIONALS FOR SPECIFIC LEGAL SITUATIONS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CATANA GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify and hold harmless Catana Group LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Delaware. You agree to waive any right to a jury trial or to participate in a class action.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on the Service and updating the effective date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
